Christmas came early this year. No, not the lighting of the Rockefeller Center tree but the elite luncheon of the top editors, publishers and executives who work for billionaire S.I. Newhouse Jr. inside the glitzy Cond?© Nast publishing empire.

This year's extravaganza at the posh Four Seasons restaurant was the first to stretch beyond Cond?© Nast's traditional top-bracket titles such as Vogue, Vanity Fair, GQ, Glamour and The New Yorker, to include the less prestigious titles of its Fairchild group, home to Jane and W, and the more pedestrian Golf Digest Companies.

The addition of more tables, bringing nearly 100 people to the meal, has already engendered grumbling that the gates have opened too wide. "It's gotten too big," said one veteran. The biggest guessing game was, of course, which top editor would sit with Si Newhouse. Vanity Fair Editor Graydon Carter surprised everyone by skipping the event entirely

Salon.com still kicking

Of all the technology magazines that emerged during the dot-com boom, Salon.com - one of the Web's first ``zines'' - was always living more precariously than most, perpetually close to going out of business. Now, a decade later, Salon could be having the last laugh. It's celebrating its 10th anniversary with a party in San Francisco on Thursday night.

Although it still teeters on the edge of financial viability, the progressive online publication is very much alive, while other boom-era magazines, like the Industry Standard, Upside and Red Herring, are dead or reinvented as leaner versions of their former selves.

The magazine owes its survival to cash infusions from deep-pocketed readers like John Warnock, the founder and co-chairman of Adobe, and Jann Wenner, the founder of Rolling Stone, who don't want to see the site go away.

Memo Pad: Carbon Copy Blueprints

When Advertising Age reported last week the new magazine in development at Martha Stewart Living Omnimedia would be called Blueprint, several editors in the lifestyle sector were stumped. According to a source with knowledge of both MSLO and Time Inc., a very similar concept with the same title was pitched to Ann Moore and other Time Inc. executives at Moore's "Kitchen Timer" magazine idea day last March. (Moore calls it the "Kitchen Timer" because at the start of each presentation, she puts a cooking timer on the table, sets it to 30 minutes and says, "Go.") The name isn't the only curious aspect of the two projects. The team that went before Moore and her timer was made up of editors from Real Simple. The team developing Blueprint at MSLO includes three former Real Simple staffers, who were all already at MSLO at the time of the Time Inc. pitch.

But however long the odds of two media companies coming up with such remarkably similar ideas almost simultaneously, it seems this really was a case of convergent evolution. MSLO applied for the trademark to use Blueprint as the title of a general interest magazine on Dec. 2, 2004. A spokeswoman for that company said editors there were discussing the idea and the name Blueprint at least by October of that year, possibly earlier. They had been working on the concept since late 2003. Meanwhile, a Real Simple spokeswoman said its editors began developing their concept in mid-September of 2004, though they didn't arrive at the Blueprint name until early January 2005.

Cristina's magazine shuts down

The magazine of Hispanic television talk show queen Cristina Saralegui, one of Miami's best known stars, is folding after 15 years in publication. The December issue of Cristina La Revista will be the last.

The closure took industry watchers by surprise: Cristina La Revista is the No. 2 Spanish-language women's magazine in the nation. However, it comes at a time when competition is heating up in the Spanish-language magazine industry, as companies make plays for the burgeoning Hispanic population.

Publisher Editorial Televisa and Cristina Saralegui Enterprises said Tuesday they could not reach an agreement to extend their contract, which expires Dec. 31. Marcos Avila, husband and business manager for Saralegui, also known as ''Oprah con salsa,'' said he had wanted to ''tweak the business model'' and to expand circulation and marketing, among other items. ''We really wanted more from the relationship,'' Avila said. ``But it wasn't possible with the current contract, and with the hurricanes and traveling, we ran out of time. We're very sorry it had to end like this.''

Icahn Finds Ally in Bid to Change Time Warner

Carl C. Icahn has a new, perhaps unlikely ally: Bruce Wasserstein. Mr. Icahn, who is leading a group of dissident investors in a campaign against Time Warner and its board, said yesterday that he had hired Mr. Wasserstein and his firm, Lazard, to help advance the fight..

The hiring of Mr. Wasserstein and Lazard lends a new dimension of credibility to Mr. Icahn's campaign, which so far has been met with resistance from Time Warner and with some trepidation among shareholders. Mr. Wasserstein, Lazard's chairman, is one of Wall Street's biggest deal makers, with a reputation as a hard-nosed negotiator.

Signing on with Mr. Icahn is a bold step for Lazard because it may threaten to sever any chance of working in the future for Time Warner, a huge, ambitious conglomerate that generates lucrative advising fees. And Time Warner was once Mr. Wasserstein's client. His former firm, Wasserstein Perella, was given credit as an adviser to Time Warner in 2000 when it merged with America Online, though the firm had no direct role in the $165 billion.

One Director, Two Boards and a Fight at Time Warner

A day after Carl C. Icahn teamed up with Bruce Wasserstein's firm Lazard to wage a shareholder war against Time Warner, a major figure in the fight may have found himself in the cross-fire. Robert C. Clark, a former dean of Harvard Law School, is a board member of Time Warner - and, yes, of Lazard, too.

Mr. Clark, who joined the board of Time Warner last year as an independent director and joined Lazard's board as an independent director this year, is widely known in academic circles as a gifted thinker on corporate governance issues. He has written and spoken extensively about shareholder activism and corporate conflicts of interest. Eliot Spitzer, the New York attorney general, was once one of his students.

Lazard's decision to advise Mr. Icahn and his group of dissident shareholders in a bare-knuckled battle to oust a majority of Time Warner's board is expected to put Mr. Clark in a particularly tough spot, especially as he makes decisions in response to the Icahn-led group or if the group decides to make him a target to be replaced. Mr. Clark is paid about $175,000 annually in cash and stock by Time Warner and about $100,000 by Lazard.

But Fairchild is being merged into Newhouse??™s glitzy and glossy Conde Nast umbrella, and that??™s creating an interestingly dichotomous Christmas season. Emails a Fairchild friend:

The origin of Fairchild??™s whole no-more-gifts-to-fashion-editors-as-this-is-a-journalism-church-state-thing was good ???ole Si Newhouse. Now that we??™re more officially conde nast and that we??™re moving to new offices uptown in about a week, and that we??™ll eventually get new food services, which includes the very same steamed salmon 4 Times Square gets, we also have new email addresses: YourName@condenast.com.

HOWEVER, editors at the trades, namely WWD, will remain on the Fairchild.com domain. Why is this significant? W mag et al. will now follow conde policy with regards to gifts, meaning there is no policy, meaning thank you Anna. WWD will continue to follow Fairchild policy, as in thank you Si. And a very merry Christmas to us all..
