******* SET TO PASS ON BUY OF N.Y. OBSERVER BRUCE Wasserstein's interest in the New York Observer is cooling, according to a source close to the situation. Allen & Co. is handling the sale for the Observer's founder and longtime owner, Arthur Carter. The peach-colored weekly has carved a niche covering the media elite and the political and society whirl in uptown Manhattan ??” but it has never rung up a profit. Currently, it is said to be losing about $2 million a year. Observer Editor-in-Chief Peter Kaplan had pitched Wasserstein's people weeks ago, and there was preliminary interest. But now, says one close to the situation, "It is seen as too much of a distraction to New York magazine. " Of course, New York magazine is also trying valiantly to make it back into the black. For the moment, however, it is still in the red, with losses expected to be in the high six-figures this year. Kaplan insists that the talks with Wasserstein are not stalled at all. "That's not true at all," he said when told Wasserstein was no longer interested. And he also insists there are several other suitors. MORE ONLINE

Spin magazine, the music title oft-rumored to be on the block for the better part of a decade, is close to a sale to San Francisco-based Hartle Media, according to sources familiar with the deal. An announcement is imminent, the sources say, and may come as early as next week. Sources had speculated that the sale price would be close to $5 million, the price tag reported last week by Women's Wear Daily. But one source said that the actual cash value of the transaction, after the assumption of a subscription liabilty, would be significantly less. As recently as last August, Quincy Jones, the legendary record producer who founded Vibe in 1994, had reportedly offered Miller Publishing $100 million to buy both magazines, but Miller wanted to open up the sale to other bidders. But even at $5 million, an amount shocking for a magazine that once sold for $42 million, the deal illustrates another drastic devaluation of a once-revered print brand. Last year, G+J sold Inc. and Fast Company??”a pair of titles it had originally bought for $550 million??”to Joe Mansueto for $35 million. MORE ONLINE

RIENDLY POACHING: Clearly, Details editor in chief Dan Peres is not a man who rushes into things. Sixteen months after the magazine's executive editor, Andrew Essex, left to start Absolute, Peres has finally named a replacement. He notified his staff Thursday that Bill van Parys was coming over from Jane, where he was executive editor and a founding staff member. The move has been in the works for a long time, according to Peres: "I broke all sorts of rules way back and actually approached Bill while Jane [Pratt] was still the editor of Jane," he said. The discussion went on hold when Pratt left the company last summer and was replaced by former Ellegirl editor in chief Brandon Holley, but Holley soon gave her blessing to the transfer, "with extraordinary graciousness," said Peres. "I'd like to say Details wins, but ultimately it's just great to keep him in the company." The role van Parys steps into won't be identical to the one Essex vacated: Brian Farnham, who was promoted to deputy editor in the interim, will continue to report directly to Peres. "I'd like to think Bill, myself and Brian will be a sort of triumvirate," said Peres. Or rather, her hair has. Boyd resurfaces in the March issue of Vogue, chronicling the straightening of her trademark "quasi-'fro." One thing that will never be tamed, though, is Boyd's meandering prose. For Vogue, she writes: "Having been previously domiciled at a draconian Franciscan boarding school in Jamaica where we wore white for the Virgin and a girl was expelled for having an Afro ??” even though an errant nun did boast that an alumna had recently bagged the Miss World title, and Bob Marley ??” for me, South Point was very ???O brave new world that has such people in it.'" The London-based title (which, like Vogue and WWD, is owned by Cond?© Nast Publications) has a 10-page feature on Wintour's home in the Hamptons near Mastic, N.Y. The story, written by Gully Wells and shot by Eric Boman, features the British-born editor in chief's lush ??” and very English ??” garden, a cast-iron stove thought to have been a gift from Ben Franklin to his friend the Marquis de Lafayette and some original wide-planked, pumpkin-pine floorboards, not to mention lots of comfy-looking rooms with fireplaces, pot-bellied stoves and spongeware jugs. Gully mentions the recent rebuilding and decoration of the main barn for Wintour's companion, Shelby Bryan, and the extended family holidays that unfold at the house. Wintour, a former editor of House & Garden, said she had no reservations whatsoever about opening her home. "I have such respect for The World of Interiors, and knew from the start I'd be in extremely capable and professional hands," said Wintour before the Gareth Pugh show in London. "And Rupert [Thomas, editor of the magazine] was extremely understanding; I was able to work with both Eric, and Gully, whom I've known for years." MORE ONLINE

Tom Cruise and Katie Holmes are as committed and in non-creepy love as ever. And what about Life & Style magazine's Web site story, which says otherwise? Let's just say TomKat's attack lawyers have been fitted with their extra-fancy spiked collars. "It should be known that the story is 100 percent false," flack Arnold Robinson says in a statement. "Mr. Cruise and Ms. Holmes are still engaged and are moving forward with their wedding plans, as well as planning for the arrival of their child." The magazine's Feb. 27 issue, on newsstands Friday, says the pair "plan to keep up the charade of their romance until after their baby's birth this spring." A representative for the magazine, which predicted a Thanksgiving 2005 wedding for Angelina Jolie and Brad Pitt and a bundle of marriage-saving joy for Jessica Simpson and Nick Lachey, says the story is accurate, according to the Associated Press.
